Expert Terms of Service

Welcome to NovaITCtl. By registering as an Expert, you agree to the terms outlined in this User Agreement. Please read this document carefully before completing your registration. This agreement consists of two sections:
Step 1: Preliminary Registration and
Step 2: Full Expert Agreement (applicable upon successful vetting).

Step 1: Preliminary Registration

1. Privacy and Data Usage

1.1 Data Collection

By registering, you consent to the collection, storage, and use of the information you provide for:
- Evaluating your application during the vetting process.
- Potential future project matching and related communications.

1.2 Data Protection

Your data will be handled in accordance with our Privacy Policy.

1.3 No Sharing Without Consent

Your data will not be shared with third parties without your explicit consent, except as required by law.

2. Vetting Process

2.1 Application Review

By submitting your registration, you agree to undergo a comprehensive vetting process.

2.2 No Guarantee of Approval

Registration does not guarantee acceptance as an Expert on the platform.

2.3 Reapplication

If your application is not approved, you may reapply after a minimum waiting period of 6 months.

3. Consent to Future Matching

3.1 Ongoing Matching

By registering, you agree that the information provided in your profile may be retained and used for future matching opportunities if your application is approved.

3.2 Profile Updates

You are responsible for keeping your information accurate to facilitate effective matching.

4. Certification of Truthfulness

By registering, you certify under the law that all information and qualifications provided during registration are truthful and accurate. You confirm that you are who you claim to be and acknowledge that any misrepresentation may result in legal action, including lawsuits initiated by the platform to recover damages.

5. No Lawsuit Clause

By registering, you agree that you waive the right to file lawsuits or legal claims against the platform for any disputes arising from your application or vetting process. The platform retains sole discretion in determining application outcomes, and its decisions are final.

Step 2: Full Expert Agreement

The following terms apply to those who have successfully completed the vetting process and are approved as Experts.

6. Fee Structure

6.1 Platform Fee

The platform deducts a 20% service fee from the total project payment for all successfully completed projects.

6.2 Transparent Payments

This fee covers operational expenses, project matching, and administrative support. Experts are responsible for providing accurate and up-to-date payment information to ensure successful transaction processing. Payments are released after client approval of project milestones.

7. Professional Liability and Quality Assurance

7.1 Responsibility for Quality

As an approved Expert, you agree to deliver high-quality work in accordance with project requirements.

7.2 Liability Insurance

You are required to purchase and maintain valid professional liability insurance appropriate to your field of expertise. Proof of insurance may be requested by the platform or Clients at any time.

8. Confidentiality

8.1 Client Data

You agree to maintain the confidentiality of all client-related information accessed during and after projects.

8.2 Platform Data

Any data shared by the platform for project facilitation must not be used outside the scope of agreed-upon work.

8.3 Non-Disclosure Agreement

You acknowledge that you will sign and comply with a Non-Disclosure Agreement (NDA) for each project. Breaching the NDA may result in termination and legal action.

9. Compliance with Platform Policies

9.1 Code of Conduct

You agree to adhere to the platform’s Code of Conduct, ensuring professionalism and ethical behavior.

9.2 Legal Compliance

Your work must comply with applicable laws, regulations, and industry standards. You also certify that you are not violating any non-compete agreements or other obligations with any current or past employer.

9.3 Prohibited Materials

You agree not to use any unauthorized or stolen materials, intellectual property, or proprietary information from other business activities or employers in performing services on the platform.

10. Non-Solicitation Clause

10.1 Prohibited Solicitation

As an Expert, you agree not to solicit clients or companies introduced to you through the platform for work outside the platform without prior written consent from the platform.

10.2 Duration

This restriction applies for a period of 12 months following the completion of any project facilitated through the platform.

10.3 Penalties

Violations of this clause may result in account termination, a penalty fee equivalent to the platform’s lost revenue, and potential legal action.

11. Intellectual Property

11.1 Ownership

All work product and deliverables created during projects are the property of the client unless otherwise agreed in writing.

12. Account Termination

12.1 Termination Rights

The platform reserves the right to terminate your account for non-compliance, inactivity, or misconduct.

12.2 Post-Termination

Upon termination, you must delete all client-related data within 30 days.

13. Dispute Resolution

13.1 Initial Dispute Resolution

Experts must notify the platform of any disputes through the designated support channels within 14 days of the issue arising.

13.2 Mediation by Platform

The platform acts as a neutral party in resolving disputes between the Expert and the client.

13.3 Arbitration Clause

If a dispute cannot be resolved through mediation, the Expert agrees to submit the matter to binding arbitration as outlined in the platform's Dispute Resolution Policy.

13.4 Arbitration with the Platform

Any disputes directly involving the platform shall also be resolved through binding arbitration.

13.5 Limitation of Liability

The maximum recoverable amount for any dispute shall not exceed the total amount of the transaction related to the dispute.

13.6 Document Submission

Experts must provide supporting documentation to substantiate their claims.

13.7 Exclusions from Arbitration

Disputes involving criminal allegations, intellectual property theft, or regulatory violations are excluded from arbitration.

14. Non-Disparagement Clause

Experts agree not to publicly or privately disparage the platform, its clients, or other users. Violations may result in account termination and legal action.

15. Refund or Rework Obligations

Experts may be required to provide a revision or partial refund if the platform determines a client's dispute is valid.

16. Inactive Expert Status

Experts who do not accept or complete any projects within a specified period (e.g., 6 months) may have their accounts marked as inactive. Reactivation may require re-vetting.

17. Tax Compliance

Experts are responsible for managing their tax obligations related to income earned through the platform.

18. Force Majeure

The platform is not responsible for delays due to events beyond its control, such as natural disasters or cyberattacks.

19. Amendments to the Agreement

The platform reserves the right to modify this agreement. Experts will be notified of significant changes.
